GERMAN NON-DISCLOSURE AGREEMENT – NDA

At the beginning of many IT-, software- or data-projects a non-disclosure agreement, aka confidentiality agreement, stands. Despite the protection of trade secrets by German statutory law, such an agreement might be useful. Above all, it may provide for a penalty clause and define in detail what is to be considered confidential.

We do not provide any templates for NDAs. You may get a template for free on other web sites. However, in most cases it is essential that the NDA is bespoken to the respective needs. For instance, the above mentioned penalty clause needs to fit to the respective individual matter. Therefore, the difficult part is not to get a template but to take into account the relevant facts of the planned cooperation. Beyond, your envisaged partner might not be prepared to simply accept your proposal – so that negotiations become necessary. In such cases, it is advisable to instruct a law firm.
